Code of Conduct

PURPOSE AND SCOPE

This Code of Conduct establishes the behavioural and ethical standards that apply to all persons using www.iqly.net and any other iQLY Websites and Services. Compliance with this Code of Conduct is a condition of access to and continued use of the iQLY platform.

Users who fail to comply with this Code of Conduct may be subject to disciplinary measures, including but not limited to restriction or permanent termination of their access to the platform, as well as legal action where warranted.

Capitalised terms used in this Code of Conduct carry the meanings assigned to them in the Key Terms section of the iQLY Terms of Use.

RESPECT AND FAIR DEALING

All Users are expected to engage with one another with mutual respect and to uphold high standards of honest and fair business conduct. iQLY is a professional platform and all interactions — whether between Solvers, Challengers, or iQLY itself — must reflect that standard.

INTEGRITY IN PARTICIPATION

Users must participate in iQLY Challenges and all activity on the platform with honesty and integrity. Specifically, Users shall:

  1. Act in good faith in all dealings on the platform;
  2. Provide accurate and complete information when registering for iQLY or establishing an account or profile;
  3. Be truthful about who is performing the work. A Solver must not present a Solution as their own where another individual has created the idea or will carry out the work;
  4. Be truthful and accurate about the work submitted; and
  5. Select Winning Solutions strictly in accordance with the terms and conditions of the applicable Solver Agreement and Challenge-Specific Provisions.

FAIR TREATMENT OF OTHERS

iQLY requires all Users to treat others fairly and equitably. Users must not:

  1. Express or apply any unlawful preference in a Challenge post or Solution proposal;
  2. Post or share Sensitive Data belonging to another person without their consent;
  3. Send unsolicited messages, advertisements, or promotional content to other Users that is unrelated to the applicable Challenge;
  4. Request or demand Deliverables or Work Product beyond what is stipulated in the applicable Solver Agreement or Challenge-Specific Provisions, including conditioning a Solver’s selection as Winning Solution or receipt of a Challenge Reward on the provision of additional unrequested work;
  5. Charge or request any fee from a Solver as a condition of submitting a Solution; or
  6. Represent or imply that a Solution will be provided by the User when it will in fact be provided by another person.

HONESTY AND ACCURATE REPRESENTATION

Users must not engage in any conduct that misrepresents who they are, what they do, or the work they submit. Prohibited conduct includes:

  1. Misrepresenting their identity or impersonating another individual or entity;
  2. Representing that one person will perform work that will in fact be carried out by another;
  3. Misrepresenting their experience, qualifications, professional credentials, or authority to transact — for example, a Solver falsely claiming enrollment at a university they do not attend, or a Challenger misrepresenting their title, position, or authority to act on behalf of their organisation;
  4. Using a profile image that depicts another person;
  5. Adopting another person’s profile or identity;
  6. Uploading or sharing another individual’s or entity’s profile without their express permission;
  7. Posting fictitious or fabricated Challenges or projects; or
  8. Misleading other Users in any manner.

USE OF ARTIFICIAL INTELLIGENCE

iQLY is a challenge-based crowdsourcing platform. The value of participation lies in the originality, creativity, and independent thinking of each Solver. Accordingly, the following rules govern the use of artificial intelligence (AI) tools on the platform:

  1. AI-Generated Solutions Are Prohibited. Solvers must not submit Solutions, ideas, concepts, or Deliverables that are substantially generated by artificial intelligence tools (including but not limited to large language models, generative AI platforms, or automated idea-generation tools). All submitted Solutions must reflect the Solver’s own original thinking, analysis, and creativity.
  2. Permitted Use of AI. AI tools may be used solely for supporting purposes, including drafting and structuring written content, proofreading, grammar correction, formatting, and translation. AI may assist in how an idea is expressed, but not in generating the idea itself.
  3. Certification of Originality. By submitting a Solution, a Solver certifies that the core ideas, insights, and intellectual content of the submission are their own original work and were not produced by an AI system.
  4. Consequences of Violation. Submissions found to be substantially AI-generated may be disqualified without notice. Repeated violations may result in suspension or permanent termination of the Solver’s account. iQLY reserves the right to use AI-detection tools and other means to identify non-compliant submissions.

ONE ACCOUNT PER USER

To maintain the integrity and fairness of the platform, each User is permitted to maintain only one active account on iQLY.

  1. Users must not create or operate more than one account on www.iqly.net or any iQLY Website or Service, whether under the same or different identities.
  2. The creation of duplicate or secondary accounts — for any purpose, including circumventing a suspension or ban, gaining an unfair competitive advantage, or submitting multiple Solutions to a single Challenge under different identities — is strictly prohibited.
  3. Where iQLY identifies that a User holds multiple accounts, iQLY reserves the right to suspend or permanently ban all associated accounts without prior notice.
  4. Users whose accounts have been suspended or terminated may not re-register on the platform without the prior written consent of iQLY.

PLATFORM ABUSE AND MANIPULATION

Users must not engage in any conduct designed to game, manipulate, or abuse the platform or its processes. The following are expressly prohibited:

  1. Coordinating with other Users to flood a Challenge with low-effort, repetitive, or artificially generated submissions with the intent of disrupting the Challenge or disadvantaging other Solvers;
  2. Submitting Solutions to a Challenge with no genuine intent to offer a viable idea, where the purpose is to inflate submission counts, consume Challenger review time, or otherwise undermine the integrity of the Challenge process;
  3. Engaging in any form of vote manipulation, coordinated rating activity, or organised interference with any platform feature designed to evaluate or rank content or Users;
  4. Exploiting any bug, error, or unintended feature of the platform to gain an advantage over other Users or to extract value from the platform beyond what is permitted under this Agreement; and
  5. Organising or participating in any coordinated scheme intended to circumvent platform rules, reward structures, or evaluation processes, regardless of whether such scheme succeeds in producing an advantage.

PROHIBITED AND UNPROFESSIONAL CONDUCT

Users must not engage in misleading, malicious, or unprofessional conduct on the platform. The following are expressly prohibited:

  1. Creating fake, duplicate, or otherwise inauthentic profiles;
  2. Providing false information about credentials, qualifications, or professional standing;
  3. Overriding, bypassing, or circumventing any security feature or access control on the platform;
  4. Selecting or using login credentials that iQLY, in its sole discretion, considers offensive;
  5. Infringing the intellectual property rights of others, including copyrights, patents, trademarks, and trade secrets. Users must not reproduce or distribute Solutions, posts, or other content belonging to others without their permission;
  6. Infringing the intellectual property or other rights of iQLY, including copying or distributing iQLY’s materials or technology (unless released under open-source licences);
  7. Developing, supporting, or using software, scripts, bots, crawlers, browser plugins, or any other automated tool to scrape, copy, or extract profiles or data from the Websites;
  8. Copying, using, disclosing, or distributing any information obtained from the Websites or Services without consent, whether directly or through third parties such as search engines;
  9. Uploading or transmitting Malicious Code, software viruses, worms, or any other harmful programs or scripts;
  10. Reverse engineering, decompiling, disassembling, or otherwise attempting to extract source code from the Websites or Services or any related non-open-source technology;
  11. Implying or stating an affiliation with or endorsement by iQLY without prior express written consent;
  12. Using bots or automated processes to access the Websites or Services, add or download contacts, or send or redirect messages;
  13. Monitoring the platform’s availability, performance, or functionality for any competitive purpose;
  14. Engaging in framing, mirroring, or simulating the appearance or functionality of the platform;
  15. Overlaying, modifying, or otherwise altering the appearance of the Websites or Services, including by inserting elements or obscuring content;
  16. Using inappropriate, offensive, or abusive language in any context on the platform; or
  17. Engaging in any behaviour that a reasonable person would regard as harassing, intimidating, offensive, degrading, or otherwise incompatible with a professional and collaborative environment.

NO FALSE OR DECEPTIVE REPORTING

Users must not make false or deceptive reports for the purpose of avoiding obligations, defrauding another User or iQLY, or circumventing the Terms of Use or any Related Agreements and Policies. This includes, without limitation:

  1. Reporting untruthful or fabricated information as a breach or violation;
  2. Submitting false or misleading disputes;
  3. Filing groundless reports that a Solver’s Deliverables or Work Product infringes another’s intellectual property, with the intent of preventing that Solver’s Solution from being selected as the Winning Solution; or
  4. Filing groundless intellectual property infringement reports with the intent of avoiding all or part of a Challenge Reward payment.

CYBERSECURITY OBLIGATIONS

iQLY is committed to maintaining a secure platform for all Users. Each User has a personal responsibility to uphold cybersecurity standards. Users must:

  1. Keep their login credentials strictly confidential and take all reasonable steps to prevent unauthorised access;
  2. Ensure that each account and set of login credentials is used exclusively by a single User and is not shared with any other person;
  3. Refrain from selecting or using another person’s login credentials with the intent to impersonate them;
  4. Not disclose, share, or provide their login credentials to any third party under any circumstances;
  5. Not permit any other person to access their account;
  6. Immediately notify iQLY and change their password if their credentials are lost, stolen, or otherwise compromised;
  7. Accept sole responsibility for all activity conducted through their login credentials; and
  8. Notify iQLY at contact@iqly.net immediately upon becoming aware of any unauthorised use of their account, any security breach, or any loss, theft, or unauthorised disclosure of their login information.

iQLY reserves the right to cancel or suspend a User’s access to the platform where that User transfers or shares their credentials. Users authorise iQLY to access any account or profile as necessary to administer or configure the platform.

ANTI-CORRUPTION

iQLY is committed to conducting all business honestly, ethically, and with integrity. Corrupt conduct of any kind is strictly prohibited.

  1. No User may offer, make, or permit any discount, payment, gift, or other benefit of value to another User for the purpose of obtaining an improper advantage — for example, a Solver agreeing to accept a reduced Challenge Reward in exchange for having their Solution selected as the Winning Solution. Equally, no User may accept any payment, gift, or benefit intended to secure an improper advantage for themselves or any other party.
  2. Users must not engage in or facilitate any money laundering, terrorist financing, or other financial crime activity.

GIFTS AND BUSINESS COURTESIES

Users must not give or receive — whether personally or through an intermediary — any gift, entertainment, or other business courtesy to or from another User in exchange for favourable treatment or as an inducement to enter into any business relationship.

CONFIDENTIALITY AND PRIVACY

  1. Users must comply with all obligations applicable to them relating to the protection, collection, and proper handling of Confidential Information and Personal Information.
  2. Users must not disclose to iQLY, its affiliates, or any Challenger any information that they are under an existing contractual or legal obligation to keep confidential, or that they otherwise do not have the right to sell or license.
  3. Users must not discuss or release any Confidential Information belonging to other parties or Users in connection with any iQLY Challenge.
  4. Users must comply with all applicable Data Protection Laws and any other laws governing the protection of Personal Information and Confidential Information.

CONFLICTS OF INTEREST

Users must take reasonable steps to identify, avoid, disclose, and where necessary mitigate any personal or organisational conflicts of interest. Each situation should be assessed on its particular facts, having regard to the nature of the relevant Challenge and/or Solution. Users are expected to exercise common sense, sound judgment, and good faith in determining whether a material conflict exists and, if so, how to address it appropriately.

  1. The two core principles governing conflicts of interest are:
    • Preventing the existence of conflicting roles that could compromise a User’s judgment or impartiality; and
    • Preventing any unfair competitive advantage. Any actual or potential conflict of interest must be promptly disclosed to all parties who may be affected.

HUMAN RIGHTS

iQLY is committed to respecting and upholding internationally recognised human rights in all aspects of its operations. All Users are expected to share this commitment.

  1. Users must treat all other Users with dignity and respect, consistent with internationally recognised human rights standards.
  2. Users must not be complicit in any violation of human rights.

ACCESSIBILITY OF CHALLENGES

iQLY is committed to ensuring that its platform remains open and accessible to all eligible Users. Challengers play an important role in upholding this commitment through the way they structure and post Challenges.

  1. Challengers may state preferences for the type, format, background, or style of submissions they are looking for in a Challenge Brief. Such preferences are permitted and may help Challengers receive more relevant Solutions;
  2. Challengers must not, however, structure a Challenge in a way that outright excludes eligible participants on the basis of race, colour, religion, age, sex, sexual orientation, nationality, disability, or any other characteristic protected under applicable law;
  3. Challengers must not impose eligibility criteria that have no reasonable connection to the nature of the Challenge and whose primary effect is to exclude a protected class of persons from participating; and
  4. Where iQLY determines that a Challenge Brief contains exclusionary criteria in violation of this Article, iQLY reserves the right to require the Challenger to amend the Brief, suspend the Challenge, or remove it from the platform entirely.

PROHIBITION ON FORCED LABOUR

iQLY strictly prohibits all forms of forced and compulsory labour.

  1. No User may permit, benefit from, or facilitate forced, bonded, indentured, or involuntary labour, exploitative prison labour, slavery, or human trafficking in any form. This includes the transportation, harbouring, recruitment, transfer, or receipt of persons through threat, force, coercion, abduction, or fraud for the purpose of labour or services.
    • Solvers must not threaten, coerce, or force another person to complete Deliverables or Work Product on their behalf.
    • Challengers must not threaten, coerce, or compel a Solver to submit a Solution. All Solver participation in iQLY Challenges is entirely voluntary.

PROHIBITION ON CHILD LABOUR

iQLY prohibits all forms of child labour. For the purposes of this Code of Conduct, a “child” means any person under the age of 18, or under the age of completion of compulsory education, or under the applicable minimum age for employment in the relevant country — whichever is greatest.

  1. Minors (persons under 18 years of age, or otherwise as defined under applicable law) and individuals or organisations that lack the legal capacity to form binding contracts may not use www.iqly.net or any other iQLY Websites or Services.

NON-DISCRIMINATION

iQLY is committed to equal treatment and prohibits all forms of unlawful discrimination. All individuals and entities are entitled to be treated with dignity, respect, and courtesy.

  1. Users must treat one another and all other persons with fairness, dignity, and respect.
  2. Users must not discriminate against any User, Solver, Challenger, or other person on the basis of race, colour, religion, age, sex, sexual orientation, marital status, nationality, citizenship, ancestry, disability, veteran status, or any other characteristic protected under applicable law.

ENVIRONMENTAL RESPONSIBILITY

iQLY recognises that environmental responsibility is an integral part of operating a world-class platform. iQLY is committed to minimising its environmental footprint and supports efforts to protect natural resources and promote sustainable practices.

  1. Users are encouraged to support efforts to minimise adverse effects on communities, the environment, and natural resources, while safeguarding public health and safety.
  2. Users are encouraged to conserve natural resources by reusing and recycling materials where practicable, and by giving preference to recycled and recyclable materials.
  3. Users are encouraged to promote the responsible and efficient use of energy, including preference for renewable energy sources where feasible.
  4. Users are encouraged to support the development and adoption of environmentally responsible technologies.

MEDIA AND PUBLIC COMMUNICATIONS

Users must conduct themselves responsibly in all public communications relating to iQLY, other Users, Challenges, or submitted Solutions. Specifically:

  1. Users must not make any public statement, social media post, press comment, or other public communication that misrepresents iQLY, the outcome of any Challenge, another User's identity, or the content of any submitted Solution;
  2. Users must not use any public platform to disparage, defame, or make false accusations against iQLY, a Challenger, or a Solver in connection with any matter arising from their use of the platform;
  3. Users must not disclose, describe, or comment publicly on the content of any Confidential Information, Challenge Brief details marked as confidential, or submitted Solutions belonging to another User, without the express written consent of the relevant party; and
  4. Where a User has a legitimate grievance, the appropriate channel is iQLY's dispute resolution process under Article 20, not public commentary.

DISPUTE RESOLUTION CONDUCT

Where a dispute arises between a Solver and a Challenger, or between any two Users, in connection with a Challenge, a Solution, a Reward, or any other matter relating to the platform, Users are required to conduct themselves in accordance with the following standards:

  1. Users must raise disputes through iQLY’s designated dispute resolution process and must not attempt to resolve disagreements through harassment, intimidation, threats, or coercion directed at the other party.
  2. Users must not publicly defame, disparage, or misrepresent another User, a Challenge outcome, or a submitted Solution on any platform, forum, or medium — including social media — whether a dispute is ongoing or at any time thereafter. Users must cooperate in good faith with iQLY’s dispute resolution process, including providing accurate information and responding to requests from iQLY promptly and honestly.
  3. Users must not attempt to circumvent iQLY’s dispute resolution process by approaching the other party’s employer, clients, or associates with the intention of applying external pressure to influence the outcome of a dispute.

ENFORCEMENT AND REPORTING

Compliance with this Code of Conduct is mandatory. Access to www.iqly.net and all iQLY Websites and Services is reserved exclusively for Users who comply with these standards. iQLY monitors activity within its systems to detect improper or unauthorised conduct.

  1. Consent to Monitoring. By using www.iqly.net and iQLY Websites and Services, Users consent to having their activities monitored for compliance purposes. Where criminal activity is detected, evidence may be provided to relevant law enforcement authorities. iQLY will take appropriate action against any User found to have violated this Code of Conduct.
  2. Duty to Report. Users are required to report any actual or suspected violation of this Code of Conduct to iQLY promptly upon becoming aware of it.
  3. Failure to Report. An unreasonable failure to report circumstances that may indicate a violation — or an unreasonable failure to detect an obvious violation — may itself constitute grounds for appropriate action by iQLY.
  4. No Retaliation. iQLY strictly prohibits retaliation against any User who reports a potential violation of this Code of Conduct in good faith. Any act of retaliation against a good-faith reporter will itself constitute a violation of this Code of Conduct and may result in disciplinary action.
